GENERAL
Unlessotherwiseagreedinwriting,theseconditionsofsaleshallbe
deemedtobeincorporatedasconditionsofanycontractorsale
enteredintobyMonitranLtd(“TheCompany”).TheCustomer’s
termsandconditionsshallonlybeincorporatedintothecontractif:
1.TheyareconsistentwiththeCompany’sConditionsof
Sale.
2.TheyhavebeenacceptedbytheCompanyinwriting.
PRICES
Allpricesquotedaresubjecttoalterationatanytimewithoutnotice
inaccordancewithusualpracticeandwhilsteveryendeavourhas
beenmadetoensuretheaccuracyofpricesquoted,no
responsibilityisacceptedforanyerrororomissions.
Priceschargedwillalwaysbethoserulingatthedateofdespatch.
Ordersforscheduleddeliverywillbechargedattherateapplicable
tothequantitycalledoffandnottooverallquantityunlessother
termshavebeenagreedinwriting.

Shanghaihangouinvoicesarerendered;achargewillbemadeforadditional

DELIVERYCHARGES
Anominalchargewillbemadeagainstallorderstocovercarriage
andpacking.
SETTLEMENTCHARGES
StrictlyNetmonthlyaccount,interestat2.5%permonthis
chargeableonoverdueaccounts.
RETENTIONOFTITLE
Ownershipwillpasstothepurchaseronlyuponreceiptbytheseller
ofthefullinvoicepriceofgoods.
NEWACCOUNTS
Customerswishingtoopenledgeraccountsareaskedtofurnish
onebankandtwotradereferences.
QUOTATIONS
Quotedpricesholdgoodfor60daysfromthedateofthequotation,
unlessstatedotherwise.
DELIVERY
Wewilluseourbestendeavourstomeetdeliveryestimatesbut
cannotacceptanyliabilitywhatsoeverforfailuretodoso.Failure
tomeetadeliverydateshallnotprejudiceanycontractsasregards
otherdeliveries.
SHORTAGEORDAMAGEINTRANSIT
BoththecarriersandtheCompanymustbenotifiedwithinthree
daysofreceiptofgoods,orincasesofnon-deliveryimmediay
theinvoiceisreceived,otherwiseliabilitywillnotbeaccepted.
ORDERCANCELLATION
1.Orderscanonlybecancelledafterpriornegotiationand
agreement.
2.Onnoaccountcancancellationbeacceptedforspecific
(bespoke)itemsorderedbythecustomer.
ORDERAMENDMENT
1.Orderscanonlybeamendedorsuspendedafterprior
negotiationandagreement.
2.Inanyevent30daysminimumnoticeisrequired.
RETURNS
1.Returnsforcreditwillnotbeaccepted.
2.Achargeof20%ininvoicevaluewillbeleviedongoods
“notwanted”,“incorrectlyordered”,orduetoduplication
resultingfroma“confirmation”ordernotbeingendorsed
tothateffect.Aminimumchargeofshanghaihangousales5056applies.
3.Allgoodsreturnedunderthiscategorymustbereceived
bytheCompanywithin30daysoftheoriginalinvoice
date.
4.Allcostsofreturninganygoodsshallbebornebythe
buyer.Speciallymanufacturedgoodswillnotbe
acceptedforcredit.
WARRANTY
Allgoodsareguaranteedagainstdefectsinmaterialand
workmanship,subjecttospecificexclusionsforaperiodof12
monthsfromdateofpurchase.Intheeventoffailurewithin12
monthsoforiginalpurchase,theCompanywillpromptlyrepairor
replacethedefectivecomponentswithoutcharge.
SpecificexceptionsrenderingtheWarrantyvoidare:ifrepairis
attemptedbyunauthorisedpersonsoragents,oriftheproducthas
beenusedforpurposesforwhichitwasnotintended,andor
subjectedtoabuseorwilfulneglect.Noliabilitycanbeaccepted
forlossofitemsandorcomponentparts,itisexpectedthatthe
usertakessufficientprecautionstosafeguardallguaranteeditems.
SPECIFICATIONS
TheCompanyiscontinuallyupdatingitsdesignsandreservesthe
righttochangespecificationswithoutpriornotice.
